Terms and Conditions for SG Angels

1. Acceptance of Terms

By accessing and using the SG Angels website https://salfati.ventures (the “Site”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site.

2. Description of Services

SG Angels (”Salfati Group”, “Salfati Group Limited”, “we,” “us,” or “our”) is an angel investment group that connects accredited investors with startup companies. Our platform provides investors the opportunity to invest on a deal-by-deal basis through a Special Purpose Vehicle (SPV).

3. Eligibility and Membership

Accredited Investors: Membership is restricted to individuals who qualify as accredited investors as defined by the law in their country of residency and the U.S. Securities and Exchange Commission (SEC).

Account Registration: To access certain features of the Site, you may be required to create an account. You agree to provide accurate and complete information and to keep your account information up-to-date.

Verification: We reserve the right to verify your status as an accredited investor and may request documentation to confirm your eligibility.

4. Investment Process

Deal-by-Deal Basis: Investments are made on a deal-by-deal basis through an SPV. Detailed information about each investment opportunity will be provided to members prior to any commitment.

Fee Structure: Our standard fee structure includes a 20% carry on the profits realized during a liquidation event. A 2% management fee may apply. We reserve the right to change this fee structure on a per-deal basis, and any such changes will be communicated to investors before they commit to a deal.

5. User Responsibilities

Investment Decisions: You acknowledge that all investment decisions are made at your own risk. SG Angels does not provide investment advice, and any information provided on the Site is for informational purposes only.

Prohibited Conduct: You agree not to use the Site for any unlawful purpose or in any way that could harm or disrupt the Site or the Services. Prohibited conduct includes, but is not limited to, transmitting harmful code, spamming, and infringing on the rights of others.

6. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is the property of SG Angels or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our prior written permission.

7. Limitation of Liability

To the fullest extent permitted by law, SG Angels shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Site or the Services, including any investment losses.
